Terms of Service
These Terms of Service (“Terms”) form a binding agreement between you and Quotespan (“we”, “us”) governing access to and use of our estimate-building software, websites, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility & account
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for keeping your credentials confidential. You are responsible for all activity that occurs under your account.
2. The Service
The Service lets contractors and similar professionals build pricing templates, generate quotes, and capture leads via shareable forms. Features and functionality may change over time. We may add, remove, or modify features at our discretion.
3. Plans, fees & payment
Some features may require a paid subscription. Fees, billing cycles, and payment methods will be presented at the time of purchase. Unless otherwise stated, fees are non-refundable. We may change pricing on prospective renewals with reasonable notice.
4. Your content
You retain ownership of templates, quotes, customer data, and other content you submit (“Customer Content”). You grant us a limited license to host, store, transmit, display, and process Customer Content solely as necessary to provide the Service. You are responsible for the legality of your Customer Content and for obtaining any consents required from your end customers.
5. Acceptable use
Your use of the Service must comply with our Terms of Use. Without limiting that document, you may not (a) reverse engineer the Service, (b) interfere with its operation or security, (c) use it to transmit unlawful, infringing, or harmful content, (d) resell or sublicense it, or (e) use automated means to extract data beyond what is offered through normal use.
6. Privacy
Our handling of personal information is described in our Privacy Policy. By using the Service you acknowledge those practices.
7. Third-party services
The Service may integrate with or link to third-party services. Those services are governed by their own terms; we are not responsible for them.
8. Intellectual property
Except for Customer Content, the Service and all associated software, design, text, and trademarks are owned by Quotespan or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
9. Suspension & termination
You may stop using the Service or delete your account at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, or if continued provision of the Service is unlawful or impractical. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive will survive.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that prices, totals, or other calculations produced by the Service are accurate; you are responsible for reviewing all quotes before sending them to your customers.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR USD 100 IF NO FEES WERE PAID.
12. Indemnification
You will defend and indemnify us from any third-party claim arising out of Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Quotespan is established, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the courts of that jurisdiction, unless mandatory law provides otherwise.
14. Changes to these Terms
We may update these Terms from time to time. We will post the new version with an updated “Last updated” date and, where the change is material, notify you within the Service. Continued use after the effective date constitutes acceptance.
